We were pleased to represent Airspan Networks (“Airspan”), a leading 5G Technology Company with Israeli subsidiaries, as part of a business combination agreement with New Beginnings Acquisition Corp. (“New Beginnings”), a special purpose acquisition company (SPAC).The transaction includes the merger of Airspan and its subsidiaries with New Beginnings.
Following the merger, the new company is expected to have an enterprise value of nearly $822 million, with NBA to be renamed “Airspan Networks Holdings Inc.”. The new public company is expected to be listed on the NYSE American under the symbol “MIMO.”
Leading this transaction was Alan I. Annex, Co-Chair of the firm’s Global Corporate Practice and Israel Practice member. Additional team members included Tel Aviv based Joey Shabot, Managing Shareholder of the Tel Aviv office; Ephraim Schmeidler; Aaron Katz; and Devora Snyder-Shefer; as well as Israel Practice member Daniella Silberstein.
The transaction is expected to close in the third quarter of 2021.
